Transitioning Ownership of the Business

Prima® Wawona is proceeding with a transition of the ownership of the business. This transition will occur either through a conversion of our lenders’ debt into equity ownership or a sale of the Company to a qualified third party via an expedited auction process.

To implement the ownership transition, we have initiated a court-supervised Chapter 11 process. We are pleased that we will begin this process with the backing of our lenders, who have already agreed amongst themselves to support the actions that we are taking. We will ultimately move forward with the highest and best offer that emerges from the Chapter 11 auction.

We are confident that this process charts a path forward to strengthen Prima® Wawona and positions the business for long-term success.

Prima® Wawona Is Continuing to Operate Normally

Prima® Wawona remains dedicated to delivering consistent and superior-quality stone fruits to its customers and consumers.

During the Court-Supervised Sale Process, We Fully Expect to Continue:

Paying employees and providing benefits
Growing and distributing stone fruits that put quality and freshness first
Working with customers as normal and without interruption
Meeting our business obligations, including paying vendors in full under normal terms for goods and services provided on or after the filing date
